How many PCI cards do you have in your machine? It could be that all of the IRQ ports have been used up by other things. This is fairly common if you have say a PCI modem, PCI graphics card, 2 PCI soundcards, couple of things in the ISA slots and maybe an AGP graphics card. This could be the problem.
Failing that, remove the device from device manager (highlight it, and press delete), turn off the machine and take the card out. Restart the machine. Turn it off again, replace the card, and turn it on. When windows says "found new hardware" DON'T install the drivers. The disk with them on should not be in the machine at this point! Once you are in windows, then run the installation CD.
Windows often fucks up installing drivers when it finds new hardware. It's always best to let the manufacturer's driver CD do the job properly.
After doing this you can then download updated drivers if you want.
