make sure the cut corner align on the CPU and board. Sometimes on the bottom of the fan there will be a plastic cover. basically here is your problem. The CPU is over heating, and it shuts itself off automatically. Make sure everything is in right and inspect EVERY SURFACE to make sure there is nothing between CPU and FAN except thermal paste.
if there isnt anything else, and power is plugged in properly, you fucked up your CPU, go exchange it saying that it was fucked up wehn you bought it. If new CPU doesnt work, something else if messed up.
check voltage on the back of the power supply, make sure RAM in all the way, make sure PC speaker is plugged into correct jumper so you can hear sounds if it IS erroring out.
check video card being fully plugged in.
you should get a bios screen if you go through the Power On Selt Test (post). you dont need keyboard, mouse, floppy, HD's, sound, NIC (net interface card), or anything. all it needs is power, a CPU, and a monitor. It loads its own vid driver before OS takes over.
last thing to do. Unplug power cord from CPU, take out the watch battery looking thing. That will reset your BIOS. Now put it back in. This CPU may use a different FSB (frontside bus) speed than your other one. Resetting it may allow it to reboot.
