before i was using :HP win xp home edition PC, 1.9Ghz, 512 Ram...

Everythig was ok regarding Sound/Midi

recently i upgraded the motherboard/CPU combo:
MotherBoard: Foxconn WinFast 6150BK8MC (nvidia drivers, AMD commercial Stable Image platform)
with AMD 939 socket 2.01GHZ X2 3800+ DualCore CPU.
Installed WinXP Pro Sp2.

And this is how it sounds when i playback the project using VSTi and external workstations:
(when i'm using VSTis only it ok except about every minute there's a buzz/stutter in audio)
I tried different Latencies and settings, no luck...

And yes, i disabled the onboard Sound in BIOS, and using Emu 1212m Audiocard, which was working fine on previous HP PC.
Example.mp3
Please Help.
Thanks in advance.

Did you install the same drivers for the sound card that were working in the other PC?

Well, seeing as how you are using a dedicated sound card as opposed to the onboard sound, I would say that the issue is not with the motherboard. Unless that motherboard has a ty FSB that is causing problems with that card. Try googling your card + the motherboard's name and model to see if any known issues exist.
